Terms of Sale

These terms govern quotations, offers, purchase orders and sales of aircraft parts, components and engines by Altitude Parts.

1. Application

These Terms of Sale apply to every quotation issued and every order accepted by Altitude Parts ("Seller"). By submitting a quote request, offer or purchase order, the buyer ("Buyer") accepts these terms. Any conflicting terms in Buyer's documents are rejected unless accepted in writing by an authorized officer of Seller.

2. Quotations and offers

Quotations, listed prices and inventory availability shown on this website are informational and are not an offer to sell. All quotations are valid for thirty (30) days unless stated otherwise and remain subject to prior sale and final inspection. Offers submitted through the website are non-binding until accepted in writing by Seller.

3. Orders and acceptance

An order is binding only when Seller issues a written acceptance, invoice or shipping confirmation. Seller may decline any order, including for reasons of credit, compliance screening or export control.

4. Prices, taxes and payment

Prices are in U.S. dollars and exclude taxes, duties, freight, insurance, crating and handling, which are Buyer's responsibility. Unless credit terms are approved in writing, payment is due in full prior to shipment. Past-due amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

5. Delivery, title and risk of loss

Unless agreed otherwise, delivery is Ex Works (Incoterms 2020) Seller's facility in Ocoee, Florida. Risk of loss passes to Buyer upon tender to the carrier. Title passes only upon Seller's receipt of payment in full. Delivery dates are estimates and Seller is not liable for delays outside its reasonable control.

6. Documentation and traceability

Material is supplied with the documentation described in the applicable quotation or listing (for example FAA Form 8130-3, EASA Form 1, dual release, teardown report or traceability to a specified source). Buyer is responsible for confirming that the supplied documentation satisfies the requirements of Buyer's regulator, operator or installer prior to purchase.

7. Airworthiness determination

Seller is a parts distributor and does not certify installation eligibility. Final determination of the airworthiness, serviceability, applicability and eligibility of any part for a specific aircraft rests solely with Buyer and the certificated repair station or mechanic performing the installation.

8. Inspection and claims

Buyer must inspect all material within fifteen (15) days of receipt and notify Seller in writing of any shortage, damage or nonconformity within that period. Failure to do so constitutes acceptance.

9. Limitation of liability

To the maximum extent permitted by law, Seller's total liability arising out of any transaction is limited to the purchase price paid for the material giving rise to the claim. Seller is not liable for any indirect, incidental, special, punitive or consequential damages, including loss of use, loss of revenue, aircraft-on-ground costs or downtime.

10. Compliance

Each sale is subject to the Export Controls notice published on this website and to all applicable anti-corruption, sanctions and anti-money-laundering laws.

11. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict of law rules. The state and federal courts located in Orange County, Florida have exclusive jurisdiction over any dispute.
